Statutory Accountability

Institutional Governance & Democratic Leadership

Operating under the French Association Law of 1901, DH LA DEMEURE HISTORIQUE upholds the highest standards of democratic representation, disinterested management, and transparent financial stewardship in service of national architectural heritage.

Institutional Principles

The Democratic Non-Profit Governance Model

The governance of DH LA DEMEURE HISTORIQUE is structured to guarantee that every decision, research priority, and financial allocation remains strictly subservient to our statutory non-commercial purpose. Registered with the Police Prefecture of Paris under RNA W751003815, our association operates in complete independence from private commercial entities, speculative developers, and partisan political influences.

Our governance rests on three foundational pillars: the Annual Ordinary General Assembly, the elected Board of Directors (Conseil d'Administration), and the Executive Bureau (Bureau Exécutif). All elected officers and board members perform their duties on a strictly voluntary, unpaid basis, without attendance fees, honoraria, or pecuniary advantages. This disinterested management structure ensures that public subsidies, departmental cultural grants, and civic contributions are directed exclusively toward field diagnostics, archival publications, and community education.

Mandatory Statutory Reinvestment Clause: All membership fees and dues are fully reinvested in the association's public interest missions. No profits or dividends are ever distributed, and any annual operational surplus is dedicated entirely to public heritage documentation and educational programs.

Board of Directors & Executive Leadership Directory

Our Board of Directors is elected by the General Assembly for renewable three-year terms. It comprises distinguished figures from architectural history, materials conservation, civil engineering, and public cultural administration who provide strategic guidance and rigorous supervisory oversight.

Transparent Budget Allocation & Financial Governance

As a public utility non-profit association, DH LA DEMEURE HISTORIQUE publishes its financial accounts annually. We operate under strict budgetary discipline, ensuring that maximum resources are deployed directly into technical field activities and open educational access. The table below details our validated annual operational expenditure allocation:

Mission / Activity Area Allocation (%) Primary Civic Outcomes
Scientific Archival Research & Monographs 32% Paleographic transcription, cadastral history indexing, academic publications, open-access digitizations.
Field Stonework & Materials Diagnostics 28% On-site physical surveys, mortar testing, masonry stability evaluations for rural communes.
Public Colloquia & Educational Outreach 22% Free public lectures, school heritage workshops, vocational apprenticeship seminars.
Historic Botanical Garden Stewardship 12% Vegetation inventorying, historic tree preservation, public workshops on sustainable garden hydraulics.
Statutory Administration & Auditing 6% Independent statutory audit compliance, registry filings, insurance, non-commercial secretariat.

Independent Auditing & Supervisory Procedures

To ensure complete financial integrity, the accounts of DH LA DEMEURE HISTORIQUE are audited annually by an independent, state-certified Commissaire aux Comptes (Statutory Auditor). This external audit examines all incoming public subsidies, philanthropic donations, and departmental allowances to verify that funds were disbursed in exact accordance with our statutory articles and grant agreements.

The auditor's comprehensive report is presented directly to the General Assembly without executive redaction. In addition, our association maintains an internal Supervisory Auditing Commission (Commission de Contrôle) comprising three non-board volunteer members. This commission has unrestricted access to all financial books, receipts, and bank reconciliations throughout the year, ensuring continuous checks and balances.

General Assembly Protocol & Civic Voting Rights

The ultimate authority of the association resides in the General Assembly of its members. Held annually in the second quarter, the Ordinary General Assembly reviews:

  • The Moral and Scientific Activity Report presented by the President;
  • The Financial Accounts and Treasury Report presented by the Treasurer;
  • The Independent Statutory Auditor's Report;
  • The programmatic orientation and budget for the subsequent operational year;
  • The democratic election or renewal of Board of Directors members.

In accordance with the statutory principle of civic equality, every active member possesses one deliberative vote regardless of contribution size. Decisions are reached through transparent democratic voting, and minutes are signed by the President and Secretary before being deposited with the Paris Police Prefecture and published on our open-access portal.

Statutory Compliance & Regulatory Filings

DH LA DEMEURE HISTORIQUE maintains continuous conformity with all statutory requirements governing non-profit entities in France:
